Alfred Mutua fraudulently transferred Lillian Nganga’s shares to his sister Ann Mutua in a bid to deny her ownership of A&L hotel.
The A&L hotel, which derives its name from the former couple’s initials (Alfred and Lillian), officially opened on July 24th 2020 as a joint venture between the Machakos governor and his ex wife.
A&L Hotel has had a contentious ownership after Lillian and Alfred Mutua parted ways in August 2021.
Lillian claimed to have conceived the idea of the hotel. This led to the birth of Ndash Enterprises, the company that owns the hotel, which was named after her.
At incorporation, Lillian is reported to have had a 100% stake in the hotel, but relinquished 50% of her shares to Mutua when both became personal guarantors for the hotel after receiving a loan facility upwards of Ksh145 million from a local commercial bank.
However, Mutua has been trying to kick out Lillian from the ownership of the hotel. He fraudulently transferred her shares to his sister Ann Mutua.
The Machakos governor transferred 1,800 shares Lillian owned to his sister Ann via lawyer BM Musau.
But Lillian fought back, she petitioned the Registrar of Companies in November 2021 after Mutua illegally transferred her shares to his sister.
On Friday May 6th 2022, the Registrar of Companies successfully reversed the 1,800 shares back to Lillian Nganga.
“The fraudulent transfer of my 1800 shares by Alfred to his sister Ann via lawyer BM Musau was reversed by the Registrar of Companies on 06.05.2022, after my complaint in November, 2021.
“Ndash Enterprises Ltd (A&L Hotel mother company) reverts to 50/50 shareholding as shown in the CR12 printed on 09.05.2022,” Lillian Nganga wrote.
